The Council of Ministers,

Having perused the Amended Provisional Constitution, in particular Articles 33 and 34 thereof;

Decree-Law No. 10 of 1974 establishing Qatar Petroleum and the amendments thereof,
in particular Article 9 thereof;

The Commercial Companies Law promulgated by Law No. 5 of 2002, in particular Article 68 thereof;

Emiri Resolution No. 29 of 1996 on the Council of Ministers’ Resolutions to be submitted to the Emir
for ratification and issuance;

Resolution of Qatar Petroleum Board of Directors No. 3 of 2004 on the approval of establishing
a company named “Qatargas Operating Company Limited”, a Qatari Shareholding Company (Q.S.C); and

The proposal of the Second Deputy Prime Minister and Minister of Energy and Industry,

Hereby resolves the following:

Articles

Article 1

Resolution of Qatar Petroleum Board of Directors No. 3 of 2004 on the approval of establishing a Qatari shareholding company named “Qatargas Operating Company Limited”, by Qatar Petroleum in partnership with Exxon Mobil Qatargas II Limited, shall be adopted.

Article 2

All competent authorities, each within its own jurisdiction, shall enforce this Resolution which shall come into force from the date of its issuance and shall be published in the Official Gazette.
